Acceptance of Terms
By engaging Growth Nexus for services, using our website, or accessing our client portal, you agree to these Terms of Service. If you are entering an agreement on behalf of a company, you confirm you have the authority to bind that company to these terms.
Each project is also governed by its written proposal and scope document. If a signed proposal conflicts with these general terms, the proposal takes precedence for that project.

Our Services
Growth Nexus provides software development and digital growth services, including WordPress development, Flutter mobile app development, AI automation, SEO and growth services, custom plugin development, and full-stack web application development.
The specific deliverables, features, and exclusions for your project are defined in your written proposal. Anything not listed in the proposal is outside the project scope.

Payments
Our payment terms are designed to be fair to both sides:
- Fixed pricing — every project is quoted at a fixed price before work begins. The quote covers everything in the written scope.
- Deposits — projects typically begin with a 50% deposit, with the balance due on delivery. Larger projects are split into milestone payments tied to deliverables.
- Payment methods — bank transfer, Wise, and Payoneer. Invoices are provided for every payment.
- Late payments — work pauses if a milestone payment is more than 7 days overdue, and timelines shift accordingly. Final deliverables and source files are released after full payment.
- Third-party costs — hosting, paid plugins, app store fees, and similar external costs are listed separately in the proposal and billed at cost.

Client Responsibilities
Timely delivery depends on collaboration. As a client, you agree to:
- Provide content, branding assets, and credentials needed for the project in a timely manner.
- Give feedback and approvals within a reasonable time (typically 3 business days) when requested.
- Provide accurate requirements and disclose any constraints that affect the work.
- Ensure you have the rights to any content, images, or material you supply to us.
- Maintain access to accounts and services that the project depends on (hosting, domains, app stores).

Timelines
Every proposal includes an estimated timeline with concrete milestones. We have a strong record of meeting them — but estimates assume timely client feedback, content delivery, and approvals.
Delays caused by late feedback, missing content, or scope additions extend the timeline accordingly and are communicated in writing as they happen. Delays caused by us do not increase the price, ever.

Intellectual Property
On receipt of full payment, ownership of the custom work we created for your project — code, designs, and content — transfers to you. You receive all source files and documentation, with no lock-in.
Two standard exceptions: third-party assets (open-source libraries, stock images, licensed plugins) remain governed by their own licenses, which we identify for you; and Growth Nexus retains the right to display the completed work in our portfolio and marketing, unless we agree otherwise in writing.

Revisions
Every project includes the revision rounds specified in its proposal (typically 2 rounds for Starter projects and 4 for Growth projects). A revision round covers refinements to delivered work within the agreed scope.
Additional revision rounds can be added at the rate listed in your proposal or our current add-on pricing. New features or changes beyond the written scope are not revisions — they are scope additions, quoted separately before any work begins.

Limitation of Liability
We build carefully and test thoroughly, but software and growth work involve factors outside any agency's control. Growth Nexus is not liable for indirect, incidental, or consequential damages — including lost profits, lost data, or business interruption — arising from the use of our services or deliverables.
Our total liability for any claim is limited to the amount you paid for the specific project giving rise to the claim. We do not guarantee specific business results (such as revenue, rankings, or downloads), as these depend on factors beyond our work. Neither party is liable for delays caused by events beyond reasonable control (force majeure), including natural disasters, war, or widespread internet or power outages.

Third-Party Services
Projects commonly depend on third-party services — hosting providers, payment gateways, app stores, APIs, and plugins. We select reputable providers and integrate them carefully, but we are not responsible for outages, pricing changes, policy changes, or discontinuation of third-party services.
Where a third-party issue affects your project, we will propose the most practical fix; work required to replace or rework a third-party dependency after delivery is quoted separately.

Termination
Either party may terminate a project with written notice. If you terminate, you pay for all work completed up to the termination date, and we deliver that work-in-progress to you in its current state. Deposits cover work already performed and scheduling commitments, and are non-refundable once work has begun.
If we fail to deliver what was agreed in the written scope, you are entitled to a refund for the undelivered portion — this is stated in every agreement. We may terminate a project if invoices remain unpaid for more than 30 days or if the working relationship breaks down irreparably; in that case the same work-completed accounting applies.

Updates to These Terms
We may update these terms from time to time as our services or legal requirements change. The “Last updated” date at the top of this page reflects the current version. Material changes will be communicated to active clients by email or through the client portal. Continued use of our services after an update constitutes acceptance of the revised terms. Projects already in progress remain governed by the terms in effect when their proposal was signed.
